End User License Agreement
This End User License Agreement ("Agreement") is a legal agreement between you or the organization you represent ("Licensee," "you") and the Licensor for the Rescue 712 software application, Version 1, including its updates and documentation ("Software").
By installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use it.
1License grant
Subject to your payment and continued compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable, perpetual license to install and use Version 1 of the Software for the internal operations of the single organization that purchased it.
2What your purchase includes
- Lifetime use of Version 1. Your license to use Version 1 does not expire.
- Free updates within Version 1 (e.g. 1.1, 1.2), available for as long as Licensor offers Version 1.
- The number of member records, computers (activations), and features permitted is set by the tier/edition you purchased (Small Team, Large Team, Agency), as reflected in your license key.
3What your purchase does not include
Version 2 (or any future major version) and the network / multi-user edition are separate products requiring a separate purchase or paid upgrade. This Agreement grants no right to them.
4License key — keep it private
Your license key identifies your organization. You agree that you will not share, publish, sell, sublicense, rent, lend, or otherwise distribute your license key or the Software to any other person or organization. Your key is for your organization's own use only. Licensor may revoke any key that is shared, resold, obtained by fraud, charged back, refunded, or used in violation of this Agreement, in which case the Software will stop functioning.
5Activation
The Software activates online and periodically confirms your license with Licensor's server. You permit this activation and re-validation. A license may be moved between computers using the in-app deactivation feature (or by contacting support). Activation binds a key to a limited number of computers as set by your tier.
6Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual-property rights. You receive only the limited rights expressly granted here.
7Restrictions
You will not, and will not permit others to: (a) copy the Software except for a reasonable backup; (b) reverse engineer, decompile, or disassemble it, except to the extent applicable law expressly permits; (c) modify, translate, or create derivative works; (d) remove or alter proprietary notices; or (e) use the Software to build a competing product.
8Your data, and your compliance responsibilities
- The Software stores your data locally on your own computer(s). Licensor does not host, access, or receive your operational data, including any protected health information ("PHI") you choose to store.
- Because Licensor has no access to your data, Licensor is not a "business associate" with respect to any PHI you store, and you are solely responsible for how you collect, secure, retain, and disclose that data and for compliance with all applicable laws (including HIPAA and state privacy laws) and your own policies.
- You are responsible for backing up your data. The Software provides a backup feature; use it. Licensor is not responsible for lost or corrupted data.
9Not a life-safety system
The Software is a management and record-keeping tool. It is not a certified emergency, dispatch, or life-safety system, and must not be relied upon as one. Search-and-rescue and emergency decisions must be made using trained human judgment and appropriate official systems. You assume all risk of reliance on the Software.
10Disclaimer of warranties
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be uninterrupted, error-free, or secure.
11Limitation of liability
To the maximum extent permitted by law, Licensor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to the Software. Licensor's total liability under this Agreement will not exceed the amount you actually paid for the Software.
12Refunds
Because a working license key is delivered immediately upon purchase, sales are generally final. If you are not satisfied, contact sales@rescue712.com within fourteen (14) days of purchase; refunds are at Licensor's discretion and require that the license be deactivated/returned and no longer used.
13Term and termination
This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using and delete the Software. Sections that by their nature should survive (ownership, disclaimers, liability, governing law) survive termination.
14Governing law
This Agreement is governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. The state and federal courts located in Kentucky will have exclusive jurisdiction over any dispute, and you consent to that jurisdiction.
15Entire agreement; changes
This Agreement is the entire agreement between you and Licensor regarding the Software and supersedes prior understandings. Licensor may update the terms for future versions or purchases; the terms you accepted at purchase govern your use of the version you purchased. If any provision is unenforceable, the rest remains in effect.
